FIRMS Portal, Entity Master & SMF – RBI Registration Guide

Every FDI filing in India – FC-GPR, FC-TRS, LLP forms, Form DI – happens on RBI’s FIRMS portal through the Single Master Form (SMF). And none of it works until two registrations are done in strict order: the Entity Master first, then a Business User approved by your AD bank. Teams routinely lose one to two weeks here while a 30-day filing clock is already running. This guide walks the exact sequence, documents and rejection traps.

Start before the money moves. The 30-day FC-GPR clock starts at allotment, not at portal readiness. Register the Entity Master and Business User as soon as the investment is planned – both approvals involve humans (RBI and your bank) and neither is instant.

The three-step onboarding sequence

Step 1 – Entity User registration (approved by RBI)

  • Go to firms.rbi.org.in → Registration Form for New Entity User;
  • One Entity User per entity – typically a director, CS or authorised manager; the same person can serve multiple entities but must register separately for each;
  • Upload one combined PDF: the authority letter in the prescribed Annex format (on letterhead, signed by MD/director/CS) + the authorised person’s PAN;
  • RBI verifies and emails the default password. If nothing arrives within about 48 hours, escalate to the FIRMS helpdesk.

Step 2 – Entity Master data entry

  • Fill the three tabs: entity details (CIN/LLPIN, PAN, NIC code), particulars (paid-up capital on a fully diluted basis), and all existing foreign investment;
  • Accuracy matters: SMF filings validate against this data, and the shareholding here auto-updates as forms get acknowledged;
  • Locked fields cannot be self-edited later – corrections go by email to the FIRMS support desks with a signed request letter.

Step 3 – Business User registration (approved by your AD bank)

  • The Business User (BU) is who actually files the forms – register with name, PAN, entity CIN and the IFSC of the AD bank branch that will verify your filings;
  • The chosen AD branch approves the BU after eKYC – typically 2–3 working days;
  • One BU login maps to one entity + one AD bank branch. Changing banks means a fresh BU registration with the new IFSC.

Not on FIRMS: the annual FLA return files on the separate FLAIR portal, and ECB reporting (Form ECB-1/ECB-2) routes through your AD bank – different systems, different logins.

Filing mechanics and the AD bank

  • Every SMF filing routes to your mapped AD branch, which verifies against RBI’s checklist – the norm is action within 5 working days;
  • Approved forms show as acknowledged; keep the acknowledgment PDF – it is your only proof of compliance;
  • Rejected forms come back with remarks; the deadline clock never paused, so late refiling attracts LSF;
  • Attachment limit is small (about 1 MB per file) – compress PDFs before upload;
  • Delayed filings flow to RBI for LSF determination; the LSF advice must be paid within 30 days.

The rejection traps (learned the hard way)

  • Authority letter not in the prescribed Annex format, or not merged with PAN into one PDF;
  • BU registered before the Entity Master was completed – the system cannot link them;
  • Wrong IFSC – the branch chosen is not the bank’s FDI-designated branch;
  • Entity Master shareholding not reconciling with the form being filed;
  • Name/PAN mismatches anywhere in the chain.

Who should be the Entity User and Business User?

They can be the same person or different people – typically a director or CS as Entity User, and whoever handles filings (often the CA/CS team) as Business User. The BU needs the authority letter and maps to one specific AD bank branch.

How long does FIRMS registration take end to end?

Plan for 3–7 working days: RBI’s Entity User approval (1–2 days), Entity Master data entry (same day), and the AD bank’s Business User verification (2–3 working days). Start well before any filing deadline.

Can we change our AD bank on FIRMS?

Yes, but it requires a fresh Business User registration with the new bank branch’s IFSC – the old login stays tied to the old branch. Factor a few days for the new bank’s verification.

Is there a fee for FIRMS registration or SMF filing?

No – registration and filing are free. Costs arise only from delays: the late submission fee starts at ₹7,500 and scales with amount and time.
