How much notice is required?

An extraordinary general meeting requires not less than 21 clear days’ notice in writing or by electronic mode, under Section 101. A meeting may be held at shorter notice with the consent of not less than 95% of the members entitled to vote. “Clear days” exclude both the day the notice is sent and the day of the meeting.

All EGM business is special business

Under Section 102, every item of business at an EGM is special business, so each resolution must be accompanied by an explanatory statement setting out the material facts and the nature and extent of the concern or interest of every director, key managerial person and their relatives. An EGM can be called by the Board, or on the requisition of members holding at least one-tenth of the paid-up share capital carrying voting rights under Section 100.
