RESOLVED THAT pursuant to Section 12 of the Companies Act, 2013, the registered office of the company be shifted from [old address] to [new address], both within [city], with effect from [date]; and that Form INC-22 be filed with the Registrar within thirty days.

When is only a board resolution enough?

A shift of the registered office within the same city, town or village needs only a board resolution and the filing of Form INC-22 within thirty days. A shift outside the local limits, or to the jurisdiction of another Registrar, requires a special resolution of the members and, in some cases, the approval of the Regional Director.
