Which companies must maintain Form MGT-2?

Every company that issues or allots debentures or any other security must maintain a separate Register of debenture-holders or security-holders in Form MGT-2 for each type of debenture or security.

How is MGT-2 different from the Register of Members?

The Register of Members (Form MGT-1) records shareholders, whereas Form MGT-2 records holders of debentures and other securities; both are maintained under Section 88 at the registered office.
