In Kerala, an LLP agreement is stamped at a flat ₹5,000, whatever the capital contribution. The duty does not scale with capital, so a ₹1 lakh LLP and a ₹1 crore LLP both pay ₹5,000. This is one of the higher flat rates among the States.
When and how to pay it in Kerala
- The LLP agreement must be executed on stamp paper of the correct value and filed with the MCA in Form 3 within 30 days of incorporation. Late filing of Form 3 attracts a penalty of ₹100 per day with no cap.
- In Kerala the duty is generally paid by e-stamping or on non-judicial stamp paper.
- Stamp duty is a State levy and is separate from the MCA / RoC Form-3 filing fee, which is a central charge.
