What the minutes must record

Minutes are the official record of a board meeting under Section 118, and their preparation is governed by Secretarial Standard SS-1 (revised, effective 1 April 2024). They record the serial number, type of meeting, company name, day, date, venue and time; the names of the directors present (indicating whether physically or through video conferencing) and others in attendance; the appointment of the chairman and confirmation of quorum; each item of business and the resolutions passed, with the names of directors who participated and any dissent; and the conclusion of the meeting.

Timelines and signing (SS-1)

  • Draft minutes are circulated to all directors within 15 days of the meeting; directors give comments within 7 days.
  • Minutes are entered in the Minutes Book within 30 days of the meeting.
  • They are signed and dated by the chairman of that meeting or of the next meeting.
  • Pages are consecutively numbered; nothing is pasted or attached; a separate Minutes Book is kept for board and for general meetings, at the registered office.

Within how many days must board minutes be entered?

Minutes must be entered in the Minutes Book within 30 days of the meeting under SS-1; draft minutes are circulated within 15 days.

Who signs the board minutes?

The chairman of that meeting, or of the next meeting, signs and dates the minutes. Signing may lawfully happen at the next meeting.

Can minutes have pages pasted or attached?

No. SS-1 requires consecutively numbered pages with no pasting or attachment; the Minutes Book is kept at the registered office.

Do virtual (VC) meetings need special recording?

Yes. Record which directors attended physically and which through video conferencing, and note the mode of the meeting.
